Terms of Use for Kadindexer

1. Introduction

Welcome to Kadindexer. These Terms of Use ("Terms") govern your access to and use of Kadindexer's services, including our API, dashboard, website, and any other associated tools or features (collectively, the "Services"). These Terms constitute a legal agreement between you (the user or organization accessing the Services) and Kadindexer.

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

We may update these Terms from time to time. We will notify you by email when changes are made. Continued use of the Services following any updates constitutes your acceptance of the revised Terms.

2. Eligibility & Account Registration

To access and use the Services, you must meet the following conditions:

You must be at least 18 years old or the age of majority in your jurisdiction, whichever is higher;
You must have full legal capacity and authority to enter into a binding contract with Kadindexer;
If you are using the Services on behalf of an organization, you represent and warrant that you are authorized to bind that organization to these Terms;
You may not be located in, or a resident of, any jurisdiction that is subject to embargoes or sanctions under applicable law;
You must not be on any government-issued sanctions list (including, but not limited to, the U.S. OFAC list or EU sanctions list).

To register and access the Services, you must log in via your Google account. Upon registration, you will be granted access to a user dashboard where you may generate API keys, select a subscription plan, and monitor usage.

You agree to:

Provide accurate and complete information during registration and keep it up to date;
Maintain the security and confidentiality of your credentials and API keys;
Not share your account or API keys with others or use another user's account;
Be fully responsible for all activities that occur under your account.

Kadindexer reserves the right to suspend or terminate your access to the Services if we suspect any unauthorized use, violation of these Terms, or illegal activity.

3. License to Use the Service

Subject to your full compliance with these Terms and any applicable subscription plan, Kadindexer grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services solely for your internal use or the legitimate use of your organization.

You may only use the Services to:

Query and retrieve blockchain-related data made available through the Kadindexer API;
Develop and operate applications, dashboards, or analytics tools that integrate with the Kadindexer Services;
Access the API and dashboard features in accordance with your plan's rate limits and intended use cases.

You may not:

Copy, modify, decompile, reverse engineer, or otherwise attempt to discover the source code or architecture of any part of the Services, except as permitted by applicable law;
Resell, rent, lease, sublicense, distribute, or otherwise make the Services available to any third party;
Use the Services to build a product or service that competes with Kadindexer;
Use the Services in any way that violates applicable law, third-party rights, or these Terms.

Kadindexer retains all rights, title, and interest in and to the Services and all related intellectual property. Your rights are limited to those expressly granted in this section. No other rights are granted by implication or otherwise.

4. Plans, Payments & Subscriptions

Kadindexer offers both free and paid subscription plans, each with specific usage limits, features, and pricing as described on our website or within your user dashboard. By selecting a paid plan, you agree to the associated pricing and billing terms.

4.1 Billing and Payment Processing

All payments are processed securely via Stripe. By subscribing to a paid plan, you authorize Kadindexer and Stripe to charge your selected payment method on a recurring basis (monthly or annually, depending on your plan) until you cancel.

You agree to provide current, complete, and accurate billing information and to update it as necessary. Failure to maintain valid payment details may result in suspension or termination of your access to the Services.

4.2 Auto-Renewal and Cancellation

All subscription plans automatically renew at the end of each billing cycle unless canceled before the renewal date. You may cancel your subscription at any time via the dashboard. Cancellation will take effect at the end of the current billing period.

We do not offer partial refunds for unused time on a plan, early cancellations, or downgrades.

4.3 Refund Policy

All fees are non-refundable, except in cases where Kadindexer fails to provide the Services as promised under these Terms. In such cases, refunds will be issued solely at our discretion.

4.4 Taxes

All fees are exclusive of any applicable taxes, duties, or levies. You are responsible for paying all such amounts in accordance with applicable law.

5. Usage Limits & Fair Use

Your access to the Services is subject to the usage limits and quotas associated with your selected subscription plan, as detailed on our website or within your dashboard.

Kadindexer reserves the right to monitor your usage of the Services to ensure compliance with these limits and with our Fair Use Policy.

5.1 Rate Limits and Overages

Each subscription tier includes defined limits on the number of API requests or volume of data retrieved. If you exceed your plan's limits, Kadindexer may:

Throttle your API requests to reduce load;
Temporarily suspend access until the next billing cycle;
Charge additional fees, if permitted by your plan, based on published overage pricing;
Require you to upgrade your plan to continue usage.

5.2 Prohibited Usage and Abuse

You agree not to:

Circumvent, disable, or interfere with any technical limits imposed by the Services;
Use multiple accounts or identities to bypass rate limits or free-tier restrictions;
Share, resell, or expose your API key or data to third parties not directly affiliated with your use case;
Use automated scripts or scraping tools to extract data beyond what the API is designed to provide;
Overwhelm or attempt to impair the performance, availability, or stability of Kadindexer's infrastructure.

We reserve the right to investigate suspected abuse or excessive usage. In cases of confirmed abuse, we may suspend or permanently revoke your access to the Services, with or without notice.

6. User Data & Privacy

6.1 User Content and Submitted Data

You retain ownership of any data, content, or materials you submit to the Services, including data transmitted via the Kadindexer API ("User Content"). By submitting User Content, you grant Kadindexer a worldwide, royalty-free, non-exclusive license to access, use, process, transmit, and store such content solely for the purpose of providing and improving the Services.

You represent and warrant that:

You have all necessary rights, licenses, and consents to submit User Content to the Services;
Your User Content does not infringe the rights of any third party or violate any applicable law.

6.2 Usage Logs and Aggregated Data

We may collect information related to your usage of the Services, including request logs, IP addresses, and other metadata. We use this information to monitor platform health, detect abuse, improve functionality, and enforce usage limits.

Kadindexer may generate and retain aggregated, anonymized statistics derived from User Content or usage data. These aggregated insights will not identify you or your organization and may be used for analytics, product development, or reporting purposes.

6.3 Personal Data and Third-Party Services

We collect personal data necessary for account creation and billing, including email addresses (via Google login) and payment information (processed through Stripe). This data is handled in accordance with our Privacy Policy, which is hereby incorporated into these Terms by reference.

You acknowledge and agree that your use of the Services may involve data being processed by third-party providers (such as Stripe for payments and Google for authentication). We do not control and are not responsible for how those third parties process your data.

7. Service Availability & Modifications

Kadindexer provides the Services on an "as is" and "as available" basis. While we strive to offer high availability and a stable experience, we do not guarantee uninterrupted access, uptime, or the accuracy of the data provided through the Services.

7.1 No Service-Level Commitments

Unless otherwise agreed to in a separate written agreement, Kadindexer does not offer service-level agreements (SLAs) for availability, support response times, or data delivery. The Services may be subject to interruptions, delays, errors, or maintenance periods without notice.

7.2 Platform Changes and Updates

We may modify, suspend, or discontinue any part of the Services at any time, with or without notice, including but not limited to:

Changing or removing features;
Updating APIs or data formats;
Releasing new versions or deprecating existing ones;
Restricting access to certain endpoints, plans, or geographic locations.

We will make reasonable efforts to notify users in advance of any major changes that could materially impact usage, but we are not obligated to maintain backward compatibility with previous versions.

7.3 No Warranty on Data Accuracy or Integrity

Kadindexer aggregates and processes data from public blockchain nodes and other third-party sources. We do not warrant that the data provided is complete, accurate, current, or suitable for any specific use. Use of the data is at your own risk.

8. Intellectual Property

8.1 Ownership of Platform and Services

All rights, title, and interest in and to the Services — including but not limited to the website, API, underlying infrastructure, codebase (excluding open-source components), visual interfaces, trademarks, and branding — are and shall remain the exclusive property of Kadindexer or its licensors. These Terms do not grant you any ownership rights or intellectual property rights in the Services, except for the limited license expressly provided under Section 3.

You may not:

Use Kadindexer's name, logos, or branding without prior written permission;
Copy, frame, mirror, or republish any part of the Services;
Remove or alter any proprietary notices or disclaimers.

8.2 Open Source Components

Certain components of the Kadindexer platform may be made available as open source software and are licensed under the MIT License or other approved open source licenses. Your use of these components is governed by the applicable open source license terms, which are hereby incorporated by reference.

Nothing in these Terms restricts your rights under those open source licenses. However, the use of Kadindexer's hosted Services — including the commercial API and dashboard — remains subject to these Terms.

8.3 Feedback and Suggestions

If you submit ideas, suggestions, or feedback about the Services ("Feedback"), you grant Kadindexer a worldwide, perpetual, irrevocable, royalty-free license to use, modify, and incorporate such Feedback into the Services without compensation or attribution.

9. Termination & Suspension

9.1 By the User

You may terminate your account and cease using the Services at any time through your user dashboard. Termination will take effect at the end of your current billing cycle. No refunds will be issued for early cancellation of paid subscriptions, in accordance with Section 4.

9.2 By Kadindexer

Kadindexer reserves the right to suspend or terminate your access to the Services at any time, with or without notice, if:

You violate these Terms or any applicable laws or regulations;
We believe your use of the Services may cause harm, disrupt operations, or expose Kadindexer or other users to liability;
You engage in fraudulent, abusive, or unauthorized activity;
Required by law enforcement or legal obligation.

We may also suspend the Services in part or in full due to planned maintenance, system upgrades, or in emergency situations.

9.3 Effect of Termination

Upon termination:

Your right to access and use the Services will immediately cease;
Your account and API keys will be deactivated;
Any outstanding fees incurred before termination remain payable;
Kadindexer may, but is not obligated to, delete your account data and logs after a reasonable retention period.

The provisions of these Terms that by their nature should survive termination — including but not limited to intellectual property rights, disclaimers, limitations of liability, and indemnification — shall continue in effect after termination.

10. Indemnification

You agree to indemnify, defend, and hold harmless Kadindexer, its affiliates, officers, directors, employees, contractors, service providers, and licensors from and against any and all claims, damages, liabilities, losses, judgments, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

Your access to or use of the Services;
Your violation of these Terms or any applicable law or regulation;
Your User Content, including any claims that it infringes, misappropriates, or violates the rights of any third party;
Any use of the Services by a third party acting on your behalf or using your credentials or API keys.

Kadindexer reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us. You agree to cooperate fully with our defense of such claims.

This indemnity obligation will survive the termination of your account and your use of the Services.

11. Disclaimers & Limitations of Liability

11.1 Disclaimers

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Kadindexer disclaims all warranties, express or implied, including but not limited to:

Warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy;
Any warranties that the Services will be uninterrupted, error-free, secure, or free of harmful components;
Any warranties that the blockchain data presented is timely, reliable, or free from inconsistencies.

You assume full responsibility and risk for your use of the Services. You acknowledge that blockchain data is inherently volatile, decentralized, and may contain inconsistencies or delays.

11.2 Limitations of Liability

To the maximum extent permitted by law, in no event shall Kadindexer, its affiliates, officers, directors, employees, contractors, or licensors be liable for:

Any indirect, incidental, special, consequential, or punitive damages;
Any loss of profits, revenue, data, business, or goodwill;
Any damages resulting from delays, service interruptions, data inaccuracies, or reliance on the Services.

Kadindexer's total cumulative liability for any claim arising out of or relating to these Terms or the Services shall not exceed the greater of (i) the amount you paid to Kadindexer in the six (6) months preceding the claim, or (ii) USD $100.

Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.

12. Modifications to the Terms

Kadindexer reserves the right to update or modify these Terms at any time, in its sole discretion. If we make material changes, we will notify you by email using the address associated with your account, or through a notice in your dashboard or on our website.

Changes will become effective on the date indicated in the updated Terms. By continuing to use the Services after the updated Terms take effect, you agree to be bound by the revised version.

If you do not agree to the updated Terms, you must stop using the Services and cancel your account before the changes take effect.

We encourage you to review these Terms regularly to stay informed about your rights and responsibilities.

13. Governing Law & Dispute Resolution

These Terms, and any dispute or claim arising out of or in connection with them or the Services, shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, without regard to its conflict of law provisions.

You agree that any legal action or proceeding arising under or relating to these Terms shall be brought exclusively in the courts located in Florianópolis, State of Santa Catarina, Brazil, and you hereby irrevocably submit to the jurisdiction and venue of those courts.

Kadindexer may also seek injunctive or equitable relief in any jurisdiction in the event of a breach or threatened breach of its intellectual property or data use rights.

To the extent permitted by law, you waive any right to participate in class actions, class arbitrations, or collective proceedings against Kadindexer.

14. Prohibited Uses

You agree not to use the Services in any way that:

Violates any applicable local, national, or international law, regulation, or third-party right;
Engages in or promotes fraudulent, deceptive, or harmful activity, including scams, market manipulation, or unauthorized data harvesting;
Uses the Services to facilitate, promote, or enable money laundering, terrorist financing, or activity involving sanctioned individuals or jurisdictions;
Infringes, misappropriates, or otherwise violates the intellectual property or privacy rights of others;
Resells, redistributes, or republishes Kadindexer data or API responses without prior written consent;
Bypasses, circumvents, or disables any rate-limiting mechanisms or access controls;
Creates multiple accounts to abuse free-tier access or exploit pricing mechanisms;
Uses automated bots or scripts to extract data in a way that disrupts or interferes with Kadindexer's systems;
Attempts to reverse engineer, probe, scan, or test the vulnerability of any part of the Services.

Kadindexer reserves the right to investigate and take appropriate action — including suspension or termination — in response to any suspected or actual violation of this section.
